Aequo acts as a counsel to EBRD in connection with Ergopack transaction
Aequo has advised the European Bank for Reconstruction and Development (EBRD) on the Ukrainian law matters associated with the transaction on the acquisition of its borrower – Ergopack LLC, one of the leading Ukrainian producers of cleaning and maintenance products – by Sarantis Group. Sarantis Group is a leading producer of branded cosmetics & personal care, household products and fragrances in 10 regional markets including Greece, Poland, Czech Republic, Hungary, Bulgaria, Portugal, Romania etc.
Aequo's advisory role for EBRD included legal assistance in the drafting and negotiating of transaction documents from the Ukrainian legal perspective, including the shares sale and purchase agreement in the acquisition target and the assignment agreement of the EBRD loan. Aequo's lawyers assisted with the collection and control over fulfilment of conditions precedent to the acquisition, the release of respective security and the completion procedures.
